By accessing or using the Minutes Network website and services, you agree to be bound by these Terms of Service. If you do not agree, you must not use our services.
Minutes Network provides wholesale telecommunications services including voice termination and origination, SMS messaging, carrier interconnection, AI-powered routing, and related platform services. Access to our services requires an approved account and API credentials.
Minutes Network reserves the absolute right to accept or reject any prospective client, partner, or carrier at any time and for any reason, at our sole discretion. We are under no obligation to provide services to any party. We may also terminate or refuse to continue any existing business relationship at any time without obligation to provide a reason.
To access our services, you must complete the registration process, provide accurate and complete information, and maintain the security of your account credentials. You are responsible for all activity under your account.
You agree not to: (a) use our services for any unlawful purpose, (b) transmit fraudulent, abusive, or illegal traffic, (c) attempt to gain unauthorised access to our systems, (d) interfere with the operation of our platform, or (e) resell services without authorisation.
Service pricing is as agreed in your carrier agreement or as published on the platform. Payment terms are net-30 unless otherwise agreed. We reserve the right to suspend services for overdue accounts. All pricing is exclusive of applicable taxes, levies, and regulatory fees, which are the responsibility of the customer.
Instant settlement is available exclusively for traffic exchanged through the Minutes Network Telecom Exchange platform. Routes and services provided outside the exchange operate under standard billing cycles as specified in your carrier agreement. Revenue share payments for Jingle Plugin partners are settled monthly in arrears following reconciliation. All financial projections, calculators, or estimates provided on this website are for illustrative purposes only and do not constitute a guarantee of revenue or returns.
We commit to 99.99% platform uptime as detailed in our SLA documentation. Service credits are available for verified downtime exceeding the SLA commitment. SLA commitments apply only to the core platform infrastructure and do not cover scheduled maintenance windows, force majeure events, or third-party carrier outages beyond our control.
All content, technology, trademarks, software, APIs, documentation, and intellectual property on this website and within our platform are owned by Minutes Network or its licensors. You may not copy, modify, reverse engineer, decompile, or distribute our proprietary materials without prior written consent. Any feedback, suggestions, or ideas you provide to us may be used without obligation or compensation.
Both parties agree to maintain the confidentiality of any proprietary or commercially sensitive information disclosed during the course of the business relationship, including but not limited to pricing, routing configurations, traffic volumes, and technical specifications. This obligation survives termination of the agreement for a period of two years.
Where we process personal data on your behalf as part of service delivery (including call detail records, routing data, and subscriber information), we act as a data processor under applicable data protection laws. A Data Processing Agreement (DPA) is available upon request and forms part of these terms where applicable.
To the maximum extent permitted by law, Minutes Network shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, loss of data, business interruption, or third-party claims. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be lawfully excluded.
You agree to indemnify and hold harmless Minutes Network, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of these terms, (b) your use of the services, (c) any fraudulent, illegal, or abusive traffic transmitted through your account, or (d) any violation of applicable laws or regulations.
Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government action, network failures, power outages, or pandemic-related disruptions.
We reserve the right to update, modify, or replace these terms and any of our policies at any time and at our sole discretion. Material changes will be communicated via email or platform notification where practicable. Continued use of our services after changes take effect constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These terms, together with any carrier agreement, service order, or DPA, constitute the entire agreement between you and Minutes Network. No prior representations, warranties, or agreements (whether oral or written) shall have any effect.
Either party may terminate the service agreement with 30 days written notice. We may suspend or terminate access immediately for breach of these terms, non-payment, suspected fraud, or traffic that poses a risk to our network or other customers. Upon termination, all outstanding balances become immediately due and payable.
These terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Ras Al Khaimah. Disputes shall first be resolved through good-faith negotiation, and failing that, through arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
